Responsibilities
- Draft, review, and negotiate a wide range of commercial contracts, including but not limited to NDAs, agency and distribution agreements, service agreements, and partnership agreements.
- Prepare and draft resolutions of both directors and shareholders, instruments of transfer of shares, letters of appointment/resignation of directors and/or other relevant corporate documentations.
- Ensure compliance with all relevant laws and regulations. Develop and implement compliance programs and provide training to employees.
- Assist in managing litigation and dispute resolution processes, including working with external lawyers as needed.
- Identify and mitigate legal risks associated with the company’s operations. Provide strategic advice to minimize potential liabilities.
- Stay updated on changes in legislation and regulations affecting the company. Provide proactive advice on regulatory issues.
- Conduct legal research and analysis to support various projects and initiatives.
- Provide legal support for mergers, acquisitions, joint ventures, company registrations, bank accounts opening and maintenance, and other corporate transactions.
- Assist the Group Legal Director with various legal matters and special projects as required and assist in the day to day running of the legal department.
Qualifications
- Bachelor’s degree in Law.
- BAA, Licensed to practice law in Cyprus.
- Minimum of 3-5 years of relevant legal experience, preferably in a corporate legal department or law firm.
- Strong understanding of corporate and commercial law.
- Excellent drafting, negotiation, and communication skills.
- Ability to manage multiple priorities and deadlines in a fast-paced environment.
- Strong analytical and problem-solving skills.
- High ethical standards and integrity.
- Detail-oriented and highly organized.
- Strong interpersonal skills with the ability to work effectively in a team.
- Proactive and able to work independently with minimal supervision.
- Adaptable and flexible in a dynamic work environment.
- Proficiency in legal research tools and Microsoft Office Suite.
- Fluent in English and Greek languages.
